xotes — Terms of Service

These Terms of Service ("Terms") form a legal agreement between you and Xotes LLC ("xotes," "we," "us," or "our"), a limited liability company organized in Ohio, United States, governing your use of the xotes application and website at xotes.ai (the "Service"). By creating an account or using the Service, you agree to these Terms. If you don't agree, please don't use the Service.

1. Eligibility

You must be at least 18 years old to use xotes. By using the Service, you confirm that you are at least 18 years old and are able to enter into a binding agreement. xotes is intended for adults only.

2. Your account

You're responsible for keeping your account credentials secure and for activity that happens under your account. Please notify us at support@xotes.ai if you believe your account has been accessed without your permission.

3. The Service

xotes is a private journaling and note-taking application — a modern commonplace book — with AI-assisted features for capturing, organizing, transcribing, and reflecting on your notes. We may add, change, or remove features over time as we improve the Service.

4. Subscriptions, billing, and cancellation

  • Paid subscription. Access to xotes (or to certain features) requires a paid subscription. The available plans and their prices are shown in the Service at the time of purchase.
  • Recurring billing and auto-renewal. Subscriptions are billed in advance on a recurring monthly basis and automatically renew each month until you cancel. By subscribing, you authorize us and our payment processor to charge your payment method for the subscription, and for each renewal, at the then-current price, until you cancel.
  • Payment processing. Payments made on the web are processed by Stripe. Subscriptions purchased inside a mobile app are processed and governed by the Apple App Store or Google Play, and their terms also apply to those purchases.
  • Free trials and promotions. We may offer free trials or promotional pricing. Unless you cancel before a free trial ends, it will automatically convert to a paid subscription, and your payment method will be charged at the then-current price.
  • Cancellation. You may cancel at any time through your account settings (for web subscriptions) or through your app store account (for mobile subscriptions). Cancellation takes effect at the end of your current billing period, and you keep access until then.
  • Refunds. Except where required by law, subscription fees are non-refundable, and we do not provide refunds or credits for partial billing periods. Purchases made through an app store are subject to that store's refund policies.
  • Price changes. We may change subscription prices. We will give you advance notice, and any change will apply to your next billing cycle. If you don't agree to a price change, you may cancel before it takes effect.
  • Taxes. Listed prices may not include applicable taxes, which may be added where required.

5. Your content

  • You own your content. You keep all rights to the Entries you create.
  • License to run the Service. You grant us a limited, non-exclusive license to host, store, process, and display your Entries solely to operate the Service for you — including sending the specific Entry content you choose to analyze to our AI provider (Anthropic) to deliver AI features. This license exists only to provide the Service and ends when you delete the content or your account, subject to routine encrypted backups that are purged on a rolling basis.
  • Your responsibility. You're responsible for your Entries and for having the right to create and upload them.
  • Export and deletion. You can export your Entries as Markdown and delete individual Entries or your entire account at any time from within the Service.

6. Acceptable use

You agree not to:

  • Use xotes for any unlawful or harmful purpose.
  • Upload content that infringes the rights of others or violates any law.
  • Attempt to breach security, reverse-engineer, scrape, overload, or disrupt the Service.
  • Use the AI features to generate content that is illegal or that violates these Terms.

7. AI features — important disclaimer

xotes uses AI (provided by Anthropic) to help organize your notes and generate insights. Please understand:

  • AI output can be wrong. It may be inaccurate, incomplete, or misleading. Use your own judgment and don't rely on it as fact.
  • It is not professional advice. xotes and its AI features do not provide medical, mental-health, psychological, legal, financial, or other professional advice, and are not a substitute for a qualified professional. If you are struggling or in crisis, please contact a qualified professional or your local emergency services.

8. Intellectual property

The xotes application, website, name, logo, and design are owned by Xotes LLC and are protected by intellectual-property laws. These Terms do not grant you any right to use our trademarks, branding, or content except as needed to use the Service normally.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that AI output will be accurate or reliable.

10. Limitation of liability

To the fullest extent permitted by law, Xotes LLC and its owner will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or one hundred U.S. dollars (US $100).

11. Indemnification

You agree to indemnify and hold harmless Xotes LLC from any claims, losses, or expenses arising out of your misuse of the Service or your violation of these Terms.

12. Termination

You may stop using xotes and delete your account at any time. We may suspend or terminate your access if you violate these Terms, or where reasonably necessary to protect the Service or other users; if we terminate your account for violating these Terms, you will not be entitled to any refund. Sections that by their nature should survive termination (such as content licenses already exercised, disclaimers, limitations of liability, and governing law) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. You agree that any dispute relating to these Terms or the Service will be resolved in the state or federal courts located in the State of Ohio, and you consent to the jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, for material changes, provide additional notice within the Service. By continuing to use xotes after changes take effect, you accept the updated Terms.
